Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Topee AI, Inc. (“Topee,” “we,” “us”) governing your use of topee.io and the Topee application (together, the “Service”). By creating an account or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you are agreeing on its behalf and confirming you have the authority to do so.

Topee converts a real product flow — starting from a staging or preview URL you provide — into an editable, narrated product video. The Service:

• Operates a controlled browser session against the URL you provide to record real, working product behavior.
• Uses an AI planner to propose which parts of your product to capture and to draft narration, which you review and can edit before anything is finalized.
• Optionally reads context from a GitHub repository you connect, on a read-only, repository-selected basis.
• Optionally generates voiceover and, on eligible plans, an avatar — from a catalog or from a photo you provide.
• Renders the result into a video you can edit, export, and share, organized in workspaces with role-based access.
• On eligible plans, provides analytics on how a shared video is viewed.

Plan tiers, included minutes, resolution, and features are described on our pricing page and may change; material reductions to a paid plan you are subscribed to will be communicated in advance.

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for safeguarding your account credentials, and for all activity that occurs under your account. Notify us promptly at mloza@placehub.mx if you suspect unauthorized use of your account.

Within a workspace, an owner or admin controls who has access and at what role (owner, admin, editor, or viewer). You are responsible for managing your own workspace membership.

You agree that you will:

• Only submit a URL you are authorized to access and to have automated for the purpose of generating a video — typically your own staging, preview, or production environment.
• Only upload media, brand assets, and avatar reference photos you own or have the rights to use.
• Not use the Service to access, scan, or interact with systems you are not authorized to access.
• Not attempt to make the automated browser session perform destructive actions (deleting data, issuing payments, sending real communications, or similar) against a system you do not fully control.
• Not use the Service to create content that is unlawful, infringing, defamatory, or that misrepresents a product’s real functionality.
• Not attempt to reverse engineer, scrape, or extract the Service’s underlying models, templates, or source code, or use the Service to build a competing product.
• Not interfere with or overload the Service, attempt to bypass plan limits, or share account credentials to circumvent seat- or usage-based pricing.

We may suspend or terminate access for violations of this section, as described in Section 9.

Video planning, narration drafting, and, where used, avatar and voice generation are produced with the help of automated and AI systems. You are responsible for reviewing a video before you share or publish it. Topee does not fabricate product functionality: anything shown as working in a video reflects a real, recorded action taken against the URL you provided, though the final judgment about whether a video is ready to publish is yours.

• Paid plans are billed in advance on a recurring basis (monthly, unless stated otherwise) through Stripe, and renew automatically until canceled.
• You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and you keep access until then.
• Fees are non-refundable except where required by law or expressly stated otherwise at the time of purchase.
• Usage beyond your plan’s included minutes may be billed as overage, or blocked, depending on your plan, as described on our pricing page.
• We may change our prices with notice; changes apply to your next billing cycle after the notice period.

Joining our waitlist or requesting demo access does not guarantee access to the Service or any particular timeline. Features offered during an early-access or beta period may change or be discontinued before general availability.

We may suspend or terminate your access to the Service if you materially breach these Terms (including the Acceptable Use section), fail to pay fees when due, or if we reasonably believe your use of the Service creates legal or security risk for Topee or others. Where practical, we will provide notice and an opportunity to resolve the issue first. You may stop using the Service and close your account at any time.

Upon termination, your right to use the Service ends. We will retain your data for the period described in our Privacy Policy before deleting it, unless a longer period is required by law.

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Topee disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any specific business outcome (such as conversion rate, viewer engagement, or launch timeline) will result from using a video you create with it.

To the maximum extent permitted by law, Topee will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of or related to your use of the Service. Topee’s total liability for any claim arising out of these Terms will not exceed the amount you paid to Topee in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to defend and indemnify Topee against claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your content, or your violation of any law or third-party right — including submitting a URL or content you were not authorized to use.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles, unless a different governing law is required by the mandatory law of your jurisdiction of residence.

We may update these Terms from time to time. If we make material changes, we will notify active account holders by email or through the Service before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

• If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Our failure to enforce a provision is not a waiver of our right to do so later.
• These Terms, together with our Privacy Policy, are the entire agreement between you and Topee regarding the Service.
